Definitions and interpretations

  • “Life Complete” a South African based and registered business operating under the following registration number 2000/001345/23.
  • “Life Complete Website” – means the website belonging to Life Complete located at www.lifecomplete.co.za;
  • The “Life Chat Magazine” – means a monthly magazine available electronically and in print, owned and distributed by Life Complete.
  • “Advertisement(s)” – means any purposeful or intended exposure given to any person, organisation and / or business via Life Complete that is aimed at or can result in support / financial gain for such party, regardless of whether it is provided free of charge and / or paid for as per the “Life Complete” “Price Lists” (hereinafter referred to as the “Price Lists”) for the respective services / products as displayed / available on the “Life Complete Website.”
  • “Content” – means all visible (including, but not limited to text, ideas, concepts, documents, products, services, information, images, designs, links, approved comments / posts, logos and Advertisement content) and non-visible [including coding (client and / or server side), scripts, notes and designs] on both the “Life Complete Website” as well as the “Life Complete Website.”
  • “Price List(s)” – means each of the current and official price lists / the combined price list for all the different Life Complete services and / or products made available to the public by Life Complete on the Life Complete Website.
  • “Terms & Conditions” – means this entire document, any other notices that stipulates how Users may and may not use the “Life Complete Website” and any of its Content and / or linked material incorporated into it by reference.
  • “User(s)” – means any individual, organisation, business or other visitor that access the front- and / or back-end of the “Life Complete Website” (for legal and / or illegal purposes) and / or make use of any of the Life Complete services and / or products (free and / or paid).
  • Client includes, but is not limited to, any person / organisation and / or business making use of any of the Life Complete services and / or products at any time. The following terms may be used to clarify the type of Client:Agents – means any person appointed by Life Complete to promote / sell and / or provide any of the Life Complete Services and / or Products to the public / market.“Product(s)” – refers to any tangible items made available by Life Complete, including but not limited to books, clothing, videos and the products of the Parent Club.
    • Visitor / User Client – refers to anybody visiting the Life Complete Website.
    • Subscriber Client – refers to someone who subscribed online to view those sections of the website reserved for Subscribers and Members.
    • Subscriber / Member – refers to someone paying membership fees for the parenting club.
    • Buyer Client – refers to those who bought any of the Life Complete Products / Services.
    • Advertiser – refers to those making use of any of the Life Complete Advertisement options (Listings, Events, advertisements in the magazine and / or advertisements) on the website.
  • “Service(s)” – refers to any non-tangible facility made available by Life Complete to the public, including but not limited to the Life Complete Website, information of Advertisers in various forms and the Parent Club.
  • “Listing(s)” – refers to organisational / business information placed in the “directory” section on the website and / or the Life Chat Magazine.
  • “Event(s)” – refers to events placed in the “Events” section of the website.
  • “Parent Club” – refers to a “monthly membership” service based on the “packages” available on the Life Complete Website.
  • “Agreement(s)” – refers to the “Terms and conditions” – serving as a legally binding agreement between any individual and / or group of whatever nature and / or their actions from the first moment he / she/ they / it accesses / make contact with any and / or all of the services and / or products of Life Complete, legally or illegally, and / or all specific services and / or products agreements, applicable to that respective services and / or products (which are all subject to the “Terms and conditions” herein referred to.
  • References to the singular include the plural and vice versa.
  • “Subscription(s) / Subscriber(s)” – are terms that may be used to describe usage of one / more of the “packages” / services available from the Parent Club.
  • “Membership / Member” – are terms that may be used to describe usage of one / more of the “packages” / services available from the Parent Club.

1. Overview

    • Life Complete was registered as a Close Corporation (CC) in 2000.
    • The aim of Life Complete is to help establish individual, family and community well-being in terms of physical, mental / cognitive, psychosocial (attitude, emotive and social), future / connotative and moral / normative health.
    • Life Complete serves as a one-stop service towards and from which any individual, organisation or business can work that are directly or indirectly involved with individual, family and / or community well-being.

2. Allowed use

    • Life Complete provides a free service (excluding where otherwise specified) and thus Users are allowed to read, download, print and / or forward material on the “Life Complete Website” where this is allowed by a build in function: Provided that such content is used solely for personal, educational and non-commercial purposes and that it is clearly indicated that the copyright and / or intellectual property vests in or belongs to Life Complete.
    • No material may be reproduced in full, in part or in any form that differs from how it is made available on the Life Complete Website. (Requests to use the material in an altered format must be submitted to the Editor: editor@lifecomplete.co.za)
    • No Content from the Life Complete Website may be used or exploited by any User for any commercial and / or non-informative purposes (as indicated in Allowed use – paragraph one).
    • If any User used Content from the Life Complete Website in breach of the provisions stipulated within this Terms and Conditions:
      • Life Complete reserves the right to institute legal and / or criminal steps against the User;
      • Life Complete reserves the right to claim damages from the User; and
      • Life Complete will not be liable, in any way for any damages, loss or liability that result from the use of such Content by the User or any third party who obtained any Content from the User.
    • The caching of the Life Complete Website shall only be allowed if:Subject to “Allowed use – paragraph one”, Users may only use the Content of the Life Complete Website for informative and educational purposes that is free of charge.No User may frame the Life Complete Website in any way whatsoever without the prior written consent of Life Complete.
      • The purpose of the caching is to make the onward transmission of the Content from the Life Complete Website more efficient;
      • The cached Content is not modified in any manner whatsoever;
      • The cached Content is updated at least every 12 (twelve) hours; and
      • The cached Content is removed or updated when so required by Life Complete.
    • Except for bona-fide search engine operators, no User may use or attempt to use any technology or applications (including web crawlers or web spiders) to search or copy Content from the Life Complete Website for any purposes, without the prior written consent of Life Complete.
    • All permissions granted in terms of this clause (Allowed use) are provided on a non-exclusive and non-transferable basis and may be terminated or cancelled by Life Complete at any time without giving reasons therefore.
    • Life Complete provides exposure for individuals, organisations and businesses directly and indirectly involved in personal, family and community well-being on a “as is“ and “good will“ basis, meaning the User takes full responsibility when “using” any such service and as Life Complete merely provides access to such services and product providers, Life Complete will not take any responsibility or be held liable, in any way whatsoever, for any result, damage, loss or liability that resulted from the use of any service, product, website and / or Internet source accessed via a hyperlink or reference of any kind to such a source on the Life Complete Website.
    • The website and public areas on the website may not be used for unauthorised advertising.

3. Intellectual property and copy right rights

    • All intellectual and / or copy right Content / material on the Life Complete Website (including but not limited to Content, idea, domain names, design elements, software, databases, text, graphics, image, service, product, icons and hyperlinks), except for paid in full Advertisements or material where the author and / or copyright is indicated not to belong to Life Complete, belongs to Life Complete and as such, are protected from infringement by domestic and international legislation and treaties. Subject to the rights of the User determined in the section called “Allowed use,” all other rights to intellectual property and copy right on the Life Complete Website are expressly reserved and any unauthorised use (including but not limited to copying, reproduction, retransmission, distribution, dissemination, sale, publication, circulation or exploitation) of such material or any component thereof will constitute an infringement of such copy right and intellectual property rights.
    • All paid for in full Advertisement content (including but not limited to copy right, intellectual property, pictures, logos, concepts, trademarks, products and ideas) belongs to the respective individual, organisation, business or body and usage is subject to written permission from the owner of the Advertisement. (Until paid for the Advertisement belongs to Life Complete and falls under the stipulations of “Intellectual property and copy right rights, paragraph 1.)
    • In the event of any permitted copying, redistribution or publication of copyright material, no changes in or deletions of author attribution, trademark legend or copyright notative shall be made.
    • You explicitly acknowledge that you do not acquire any ownership rights by downloading copyright materials and content.
    • Life Complete reserved the right to immediately suspend and / or take legal action against any person’s access to the “Life Complete Website” and / or accompanied material, when materials are used in an inappropriate manner by the person or persons who has access to and originally copied the material.

4. Software and equipment

    • It is the responsibility of the User to acquire and maintain, at his / her own expense, the computer hardware, software, licenses, lines and access accounts required to access the Internet and the Life Complete Website.

    • To protect you as a User, in compliance with the section 43(1) of the Electronics Communications and Transactions Act 25 of 2002 (“ECT”) your attention is drawn to the following:

    • Legislative and regulatory requirements to uphold: Life Complete conducts its business in accordance to current and applicable legislation including, but not limited to (1) the Imprint Act, No 43 of 1993, (2) the Competition Act, No 89 of 1998, (3) the Close Corporation Act, No 69 of 1984, (4) the Legal Deposit of Publications Act, No 54 of 1997 (5) and the Promotion of Access to Information Act, No 2 of 2000;
    • Owner: Provided upon written request on business letterhead.
    • Cost for access to the website: Free (except for specified member areas);
    • Advertisements: Subject to the current fee as indicated in the applicable Price Lists;
    • Dispute resolution: All disputes regarding (1) access to the Life Complete Website, (2) inability to access the Life Complete Website, (3) the services and products of Life Complete, (4) or these terms and conditions, shall be referred to arbitration in terms of the expedited rules of the Arbitration Foundation of South Africa and such arbitration proceedings shall be conducted in Pretoria in English. The arbitration ruling shall be final and the unsuccessful party shall be responsible for cost of such proceedings; and
    • Complaints from Users: Users may lodge complaints concerning the Life Complete Website by means of the “Contact Us” facility on this website. Once a complaint is submitted electronically the User hands over the copyright of a complaint to Life Complete and understands that Life Complete can (1) use, disclose and publish such complaint and (2) is under no legal duty to answer, resolve or address such complaints.

6. Changes and amendments

  • Life Complete expressly reserves the right, in its sole and absolute discretion, to do any of the following, at any time without prior notice:Life Complete makes every effort to keep information and data up to date on a regular basis but does not guarantee the accuracy, completeness and reliability of any information of the site. Life Complete will however in its sole discretion decide to or actually evaluate and / or use any valid and validated material to improve, update or replace existing material where Life Complete deems it relevant and / or necessary in terms of the Life Complete vision.
      • change these terms and conditions and place the latest terms on the Life Complete Website (where such alterations and modifications will supersede and replace any previous terms);
      • change and / or remove all /  some of the content and / or services / features and / or products available on or from the Life Complete Website;
      • discontinue all / any aspect of the Life Complete Website, including, but not limited to service(s) and / or product(s) available from and / or on the Life Complete Website;
      • upgrade the Life Complete Website in any why that will improve its performance and / or optimise User use; and / or
      • change the software and hardware required to access and use the Life Complete Website.

7. User comments

    • Users can submit their opinions (including but not limited to ideas, comments, insets, arguments, criticism, theories and research done) in written, printed or electronic format with the understanding that once posted, handed over, given, faxed, transmitted or submitted to Life Complete the Users hand over the copyright of such material unless specifically indicated that copy right and intellectual property resides with the User. Where Life Complete was not informed of any copy right or intellectual property limitations required by the User, Life Complete reserves the right to use, alter and reproduce such material (not including any personal information of the User) in any form or format without giving notice / recognition to the sources or User that provided it.
    • Users acknowledge and agree that Life Complete has the right to scan, alter and / or refuse to upload one / any / any part / all submitted comments / posts at any time as it may seem fit and without reasons and / or notifying the provider / User who provided the “comment.” Life Complete also reserves the right to remove any comments / posts that was allowed / displayed at any time as it may seem fit and without reasons and / or notifying the provider / User who provided the “comment.”
    • Life Complete reserves the right to decide what / how much information to display / upload of the provider / User if any at all.
    • Life Complete will not be liable for any loss, damage and / or harm incurred by the User where the User did not indicate that copy right and / or intellectual property belongs to the User.

8. Privacy

  • Life Complete considers “private information” to mean (1) keep it strictly private and confidential and (2) do not misuse it (e.g. send unwanted spam or more than two e-mails to Users during a month) and will strive to handle the private information of the User as we expect our own private information to be treated. However, as no transmitted or stored data can be 100% secure, when providing private information, Users do so at their own risk. Also, it is the responsibility of Users to secure and protect their own login password(s) in a safe and secure place. Where Users are careless with their passwords, Life Complete can no longer warrants, nor protect or accept responsibility for the privacy and / or the securing of personal information. Where a Users’ password has been compromised, Life Complete needs to be notified immediately upon which all possible steps will be taken to limit any damage due to the breach of security.  Note that Life Complete accepts no liability whatsoever for damage causes in the case of security bridging, when such a security bridge was caused as a result of password negligence by a User.
  • For the purpose of this clause, “personal information” shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA).
  • Life Complete may collect, store and use, amongst other, the following personal information of a User:
    • Name;
    • Surname;
    • Contact details;
    • Non-personal browsing habits and click patterns;
    • E-mail address(es); and / or
    • IP address(es).
  • Life Complete can collect, store and use the above-mentioned information for the following reasons and / or purposes:Information detailed above is collected either by hand, posted mail, facsimile, electronic submission, electronically by using cookies or is provided voluntarily by the User. Users may determine cookie use independently through their browser settings.
    • communicate requested information to the User;
    • newsletter database;
    • communication with Users (including but not limited to promotions, advertisements, research, notifications and awareness campaigns);
    • registration and / or authentication of Users; and / or
    • to compile non-personal statistical information about browsing habits, click-patterns, access to and use of the Life Complete Website.
  • Life Complete may collect, maintain, save, compile, share, disclose and sell any information collected from Users, subject to the following provisions:Life Complete owns and retains all rights to non-personal statistical information collected and compiled by Life Complete.Users are urged to familiarise themselves with the privacy policies and terms and conditions of third party sites accessed via hyper links or reference made to on the Life Complete Website to ensure that User privacy is maintained.
      • Life Complete shall not disclose personal information from Users unless the User consents thereto;
      • Life Complete shall disclose information without the User’s consent only through due legal process;
      • Life Complete may compile, use and share any information that does not relate to any specific individual;
      • Life Complete was instructed by government or court to make personal information available; and
      • Where any situation arises that requires the disclosure of personal information where Life Complete in its sole discretion believes such action to be necessary and appropriate.

9. Hyper-links

    • Life Complete may provide hyperlinks to web sites not controlled by Life Complete (target sites) and such links do not imply any endorsement, agreement on / to or support for the content (including but not limited to services, products, service delivery, how business and trading is conducted and ideas / views and ideologies) of such target sites and Users therefore use these sites at their own risk.
    • Life Complete does not editorially control the content on such target sites and shall not be liable, in any manner whatsoever, for the access to, inability to access, content available on or through, the services and products provided by and / or any personal / private information obtained via such target sites as Users make use of these sites at their own risk.
    • Sites suspected of any “wrong doing” needs to be reported to Life Complete in writing who undertakes to investigate any claims to the extend possible and, in its absolute discretion, take the necessary steps, if any, to ensure User “safety.”
    • The Life Complete website may be sub-linked to other sites.

10. Security

    • Life Complete shall take all reasonable steps to secure the Content of the Life Complete Website and the information provided by and collected from Users from unauthorised access and / or disclosure. However, Life Complete does not make any warranties or representations that content / information shall be 100% safe and secure.
    • Life Complete is under no legal duty to encrypt any content or communications from and to the Life Complete Website and is also under no legal duty to provide digital authentication of any page on the Life Complete Website.
    • Users may not deliver or attempt to deliver, whether on purpose or negligently, any damaging code, such as computer viruses, to the Life Complete Website or the server and computer network that support the Life Complete Website. Notwithstanding criminal prosecution, any person who delivers any damaging code to the Life Complete Website, whether on purpose or negligently, shall be liable for any damages incurred by Life Complete and / or Users.
    • Life Complete will not be liable for any damage or loss resulting from direct or indirect access of or to potentially harmful or actual damaging code or other malicious items.
    • Users may not develop, distribute or use any device to breach or overcome the security measures of the Life Complete Website and Life Complete reserves the right to claim damages from any and all persons concerned with a security failure or breach.
    • Any User who commits any of the offences detailed in sections 85 to 88 of the ECT Act shall, notwithstanding criminal prosecution, be liable for all resulting liability, loss or damages suffered and / or incurred by Life Complete and / or any other User.
    • Although the necessary measures and steps are taken to ensure that the “Life Complete Website” are free and safe from harmful programs (e.g. viruses, bots, spiders, etc), Life Complete will not be liable to you for any direct, indirect, consequential, special or other damage resulting from the transmission to / from the “Life Complete Website” and / or linked websites to your computer systems of viruses, worms, Trojan horses or other destructive items, however caused, such damage to include, without limitation, damage / destruction to software and / or your personal computer (whether it is a stand alone or connected / part of a system / network), loss of profits, interruptions to business, loss of the whole or any part of a program or any data howsoever stored whether saved on a computer system or otherwise.
    • Users must not share their “username” and “password” with anybody and should keep this information safe.
    • Any “correspondence” allegedly from Life Complete that looks suspicious should be avoided and needs to be reported to Life Complete immediately. Life Complete takes no responsibility for any results flowing from Users responding to any “correspondence” in the name of Life Complete but which was not intentionally and / or officially send to the User by Life Complete.
    • When submitting banking details for payments Users are advised to use and fax the respective forms as provided by Life Complete.
    • Online forms are available in printed format should Users prefer to use faxing as the preferred method of communication.

11. Disclaimer and limitation of liability

    • The information contained on this site may contain technical inaccuracies and typographical errors. All information made available on the “Life Complete Website” is provided without warranty of any kind, either expressed or implied on the part of Life Complete.
    • Life Complete excludes all liabilities it may have to Users to the fullest extent permitted by law (and whether such liabilities arises in contract, tort or otherwise) as a result of your use of the website.
    • Subject to the provisions of sections 43(5) and 43(6) of the ECT Act, if applicable, and as far as allowed by law, Life Complete (including its owner, employees, suppliers, Internet service providers, partners, affiliates and Agents) shall not be liable for any damage, loss or liability of any nature incurred by whomever and resulting from:The Life Complete Website and / or all Life Complete services and / or products are supplied in good faith and on an “as is” basis and have not been compiled to meet the User’s individual requirements. It is the responsibility of the User to use discretion and personal judgement to determine the suitability of the Content, services and / or products for their purpose prior to or when deciding to use the Content, services and products available from the Life Complete Website / Life Complete.Information, ideas and opinions expressed on the Life Complete Website should not be regarded as professional advice or the official opinion of Life Complete and Users are encouraged to seek professional advice before taking any course of action related to the information, ideas or opinions expressed on the Life Complete Website.

Life Complete shall take all reasonable steps to ensure the quality and accuracy of Content available on the Life Complete Website and encourage Users to report incorrect and untrue information subject to the right of Life Complete to rely on its free expression rights and determine, in its sole and absolute discretion, the Content of this web site.
    • The Life Complete Website does not accept responsibility for content published by Users (e.g. comments, articles and / or forum postings). Offensive or objectionable contents and / or materials published on the Life Complete Website that are either disrespectful, degrading, inappropriate, socially questionable / unacceptable, immoral, abusive, obscene, vulgar, sexually-permissive, hateful, threatening, unethical or otherwise violative of any laws will – as soon as it is brought to the attention of the Life Complete Management – be investigated and corrected and / or removed subject to the discretion of the Life Complete Management. Life Complete however does wish to stimulate interaction, sharing of opinions, debating and critical analyses of issues and request that Users feel free to “challenge” the views, opinions and / or theories of other Users, but in a respectful and professional manner.
    • Life Complete does not make any warranties or representations that the Life Complete Website shall be available at all times. Users acknowledge that the Life Complete Website may be unavailable due to updates or other causes beyond the reasonable control of Life Complete, including, but not limited to virus infection, unauthorised access, power failure, civil unrest, war or “acts of God.”
    • Life Complete will not be held liable for any “down time” of the website due to faulty / interrupted service(s) by those service providers responsible for services / products necessary for the Life Complete Website to be available to Users.

12. Removal and correction of content

    • Users are encouraged to report untrue, inaccurate, defamatory, illegal, socially unacceptable and infringing and / or harmful Content available on / from the Life Complete Website to Life Complete and Life Complete undertakes to correct / alter and / or remove such Content or any part thereof if the person making the report can provided reasonable grounds (including but not limited to valid and validated proof such as empirical research and accredited sources) to substantiate the claim and / or where Life Complete, in its absolute discretion, deems the “correction” necessary.

13. Interception and monitoring

    • Subject to the provisions of the Regulation of Interception of Communications (RIC Act 70 of 2002, the User agrees to Life Complete’s right to intercept, block, filter, read, delete, disclose and use all communications sent or posted by the User to the Life Complete Website, its staff and employees.
    • The User agrees and acknowledges that the consent provided by the User in “Interception and monitoring, paragraph one” satisfies the “writing” requirement as detailed in the ECT Act and the RIC Act.

14. Losses due to unauthorised access

    • You accept the risk that data transmitted electronically via the respective websites or otherwise may be intercepted before reaching its intended destination or might be accessed by unauthorized third parties and may be exploited unlawfully by such third parties. Life Complete does not assume responsibility for guarding against acts of such third parties and shall not be liable for any direct, indirect consequential, special or other damage resulting from third parties interceptions of or access to data of whatever nature outside the demarcation of the Life Complete and / or the “Life Complete Website” system.

15. Entire agreement

    • These terms and conditions constitute the entire agreement between Life Complete and the User and shall take precedent over any disclaimers and / or legal notices attached to any communications and / or postings received by Life Complete from the User.
    • Any failure by Life Complete to exercise or enforce any right or provision shall in no way constitute a waiver of such right or provision.
    • In the event that any term or condition detailed herein is found unenforceable or invalid for any reason, such term(s) or condition(s) shall be severable from the remaining terms and conditions. The remaining terms and conditions shall remain enforceable and applicable.

16. Section 21 of the ECT Act

    • The User and Life Complete agree that:
    • the User shall be bound to these terms and conditions, meaning the User accepts the Content of the Terms and Conditions without limitation or qualification at the time the User visits and enters any part (including the home page) of the Life Complete Website for the first time as well as each following visit;
    • data messages (as defined in the ECT Act) addressed by the User to Life Complete shall only be deemed to have been received if and when responded to;
    • data messages (as defined in the ECT Act) addressed to the User by Life Complete shall be deemed to be received by the User as detailed in section 23(b) of the ECT Act;
    • data messages (as defined in the ECT Act) addressed by the User to Life Complete shall be deemed to have been created and sent by the User from within the geographical boundaries of South Africa;
    • electronic signatures, encryption and / or authentication is not required for valid electronic communications between the User and Life Complete; and
    • The User agrees and warrants that data messages that are sent to Life Complete from a computer, IP address or mobile device normally used by or owned by the User, was sent and / or authorised by the User personally.

17. Applicable law

    • The Life Complete Website is hosted, controlled and operated from the Republic of South Africa and therefore the South African law enforced by the South African courts governs the use or inability to use the Life Complete Website, its content, services and these terms and conditions.

18. Legal costs

    • Life Complete shall not be liable for costs incurred by Users to obtain professional advice relating to these terms and conditions or for damages / loss or legal actions resulting from the use of any of the Content, products or services made available on or through links and / or references on the Life Complete Website.

19. Prices and payments

    • Prices can change without prior notice and it is the responsibility of Clients / Agents to consult the current / latest prices / Price List(s) provided on / for services and / products available via the Life Complete Website before initiating payment / ordering / selling.
    • No VAT or taxes are charged on the products sold within South Africa unless so specified.
    • Special packaging and / or insurances are for the account of the User and needs to be stated when specifying the means of postage / delivery.
    • No service and / or product will be made available before full payment has been received and cleared.
    • All term / contract (Agreement) based services and / or products are payable a month in advance. Where such payment is not received, Life Complete reserves the right to stop, and remove the Client from such service, until full payment has been received and cleared. In the case of Advertisements in the Life Chat Magazine, such Advertisements will only be displayed in the issue following the month during which the payment was received, where the clearing of the payment was done before the closing date for publishing.
    • Life Complete has a strict no refund policy.
    • Payment must be made in South African Rands or US Dollars.
    • No cheques are accepted.
    • Online “sales” are not subject to a “cooling off period” and therefore no refunds will be made once payment has been received.
    • Electronic payments (EFT and / or Credit card) are accepted and needs to be cleared before any products will be dispatched.
    • All electronic payments (EFT and / or Credit card) are subject to and governed by the respective Terms & Conditions of the institution(s) involved with / offering these payment facilities / services.
    • Where payments by User cannot be completed (via debit order or electronic deduction) due to insufficient funds available in the account of the User, all subsequent cost involved to finalise the payment will be for the account of the User and all services and / or orders will be suspended / placed on hold until full payment has been received.

20. Debit orders

  • Debit order instructions, or a variation thereof, included in all contracts / Agreements where debit deductions apply:
      • I/We hereby authorise you to issue and deliver payment instructions to your Banker for collection against my/our above-mentioned account at my/our above-mentioned Bank (or any other bank or branch to which I/we may transfer my/our account) on condition that the sum of such payment instructions will never exceed my/our obligations as agreed to in the Agreement and commencing on _________________ and continuing until this Authority and Mandate is terminated by me/us by giving you notice in writing of not less than 20 ordinary working days, and sent by prepaid registered post or delivered to your address as indicated above.
      • The individual payment instructions so authorised to be issued must be issued and delivered as follows: monthly.
      • In the event that the payment day falls on a Sunday, or recognised South African public holiday, the payment day will automatically be the very next ordinary business day. Payment Instructions due in December may be debited against my account on ______________(date).
      • I/We understand that the withdrawals hereby authorised will be processed through a computerised system provided by the South African Banks. I also understand that details of each withdrawal will be printed on my bank statement. Such must contain my reference number and the abbreviated company name, which will be LIFECOMPLE, which, if provided to me should enable me to identify the Agreement.
      • Mandate: I/We acknowledge that all payment instructions issued by you shall be treated by my/our abovementioned Bank as if the instructions have been issued by me/us personally.
      • Cancellation: I/We agree that although this Authority and Mandate may be cancelled by me/us, such cancellation will not cancel the Agreement. I/We shall not be entitled to any refund of amounts which you have withdrawn while this Authority was in force, if such amounts were legally owing to you.
      • Assignment: I/We acknowledge that this Authority may be ceded or assigned to a third party if the Agreement is also ceded or assigned to that third party, but in the absence of such assignment of the Agreement, this Authority and Mandate cannot be assigned to any third party.
      • I declare that I am duly authorised to sign this Agreement and Debit Order instruction and by my signature hereto.
      • I / the business, individually and collectively hold harmless Life Complete and / or its Agents against any claim of any nature arising from this debit order and / or its electronic processing and / or from any other cause following the authorization and irrespective whether such authorization had been withdrawn or not.
      • I understand that this debit order authorisation will remain in place for the duration of the term of the service(s) / product(s) selected or for the necessary time thereafter for Life Complete to deduct any outstanding / unpaid amounts for the selected service(s) / product(s).
      • I undertake to ensure that adequate funds are available in the stated bank account to cover the full amount(s) due in terms of this debit order. However, in the event that any debit order due in terms of this debit order instruction is rejected by my bank, all related bank rejection fees, additional expences on the part of Life Complete and the full amount due for the respective deduction, that remains unpaid, will be due and payable immediately on demand by Life Complete. I agree, once notified by Life Complete of any such bank rejection, to make the necessary funds available for Life Complete to re-issue the debit order after five working days. I accept that Life Complete has the right to suspend all service(s) / products(s) subject to this Agreement and debit order until all outstanding monies have been received by Life Complete.
      • I will inform Life Complete of any changes to my banking details and will, where I fail to do so, be liable for any costs involved on the part of Life Complete to recover the amount(s) due.
      • I acknowledge that Life Complete may not cede or assign any of its rights to any third party without my written consent and that I may not delegate any of my obligations in terms of this Agreement to any third party without prior written consent to the authorised party.
      • Any reference to the entities above includes a reference to any successor in title or in appointment.
      • The first deduction is made a month in advance of the “service(s)/product(s)” to be available.
      • By accepting the Life Complete Terms and Conditions and / or signing the applicable Agreement I declare that I have read, accept & agree to the Terms and Conditions as stipulated on www.lifecomplete.co.za.
      • Life Complete will strictly adhere to any / all legislation / regulation / procedure stipulated by the respective debit order authorities and / or institutions.

21. Postage

    • Postage is subject to a quotation, based on Client / Agent needs, to be accepted, in writing, and paid before bought goods will be dispatched to Clients.
    • Once handed over for delivery, it becomes the responsibility of the Client / User to track the posted material.
    • It is the responsibility of the Client / Agent to ensure that the postal / delivery address provided to Life Complete and / or given by Life Complete to confirm before despatching of the order, is correct. Life Complete will not be held liable for orders dispatched to a wrong address.
    • Life Complete will not be held liable for any errors made by the courier during and / or in the delivery process of delivering the parcel to the Client / User.

22. Products

    • All orders are subject to stock availability.
    • Completion of the order is subject to the processes provided on the Life Complete Website.
    • Products are sold as is and in good faith.
    • Users must include the reference number provided by Life Complete in all payment to prevent delays in processing the order.
    • Defects of third party products need to be referred to the respective provider.
    • The Order Form on the Life Complete Website, will be considered a legal and binding contract / Agreement between the User and Life Complete once completed and submitted to Life Complete.
    • Cancellation of an order is subject to an Administrative fee of R250 / $22.

23. Advertisements – General

    • Advertisements will only be uploaded / placed once all Life Complete requirements have been met, including but not limited to submission of all the required information, correct completion of all documentation and / or full payment, where applicable, as stipulated for each respective form of advertisement, have been received.
    • Life Complete reserves the right to reject, remove and / or request Clients to alter / remove certain words / phrases / images that may cause confusion / alienate / promote bias / be inflammatory / be socially “unacceptable or questionable” / carry underlying or perceived underlying meanings, contradict the vision of Life Complete or, in the absolute discretion of Life Complete, lead to any “negative” response from Users.
    • Life Complete reserves the right to cancel / remove any Advertisement where the individual and / or business / organisation having placed the Listing falls under suspicion of / have been found guilty of breaking the law and / or being involved with / having committed any socially unacceptable / unethical act / behaviour and / or be linked to anything that can harm the reputation of Life Complete and / or negatively influence Users.
    • Life Complete will use commercially reasonable efforts to display the Advertisement(s) of the Client but does not give any guarantees in terms of response / number of visits to / views of the respective Advertisements of Clients and / or an increase in the business / income of the Clients and will therefore not be held liable for the result / outcome / consequences of the Client having placed the Advertisements.
    • Clients agree and accept that their Advertisements may from time-to-time not be available to Users due to unforeseen circumstances beyond the control of Life Complete such as, but not limited to, the website being inaccessible or inoperable due to: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which Life Complete may undertake from time to time; or (iii) causes beyond the control of Life Complete and which are not reasonably predictable by Life Complete, including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks and network congestion or other failures. Such interruption of Services will not be deemed a breach of the Advertising Agreement or any provision thereof.
    • Once notified by Life Complete that the Advertisement (or advertorial) is ready to be uploaded / placed and / or have been uploaded / placed, it is the responsibility of the Client to sign off and / or verify the content, layout and / or / display as correct and unless notified in writing within forty eight (48) hours, Life Complete will accept that the uploaded / visible Advertisement is correct.
    • Advertisements not accepted by Life Complete include: alcohol, sex, drugs, unethical, gambling, “quick-fix,” political or anti-religious related and / or any such listing deemed by Life Complete, in its absolute discretion, not supporting the Life Complete vision, may have a negative impact on Users and / or that which may be deemed unsuitable to / unacceptable by Users.
    • It is the responsibility of Clients to notify Life Complete, in writing, of any changes to their advertised information / Advertisements.
    • Life Complete needs to be notified of any changes / alterations to Advertisements no less that forty eight (48) hours before such information needs to be made public. In the case of Advertisements in the Life Chat Magazine, Clients need to notify Life Complete no less that thirty (30) days in advance and ensue that the notification reach and can be implemented before the final cut-off for Advertisement submissions.
    • Life Complete reserves the right, even after Clients have been given the opportunity to select the location of the Advertisement, to place the Advertisement where it deems fit.
    • Life Complete will not be held liable for the quality of the digital display and / or print work of the Advertisement.
    • Listings and Events are displayed in the respective predetermined Life Complete formats which can be altered without prior notice.

24. Advertisements Listings

  • Graphical material must comply with the specifications provided on the Life Complete Website.
  • Listings are placed for twelve (12) month cycles.
  • Prices, as listed in the Price list or the “Price list” column on the website under the Directory section, applies and can be altered without prior notice.
  • Free Listings:
    • Will be displayed based on the provided Life Complete Website format, which can be altered without prior notice from time-to-time.
    • Do not include activated e-mail and website hyperlinks.
    • Has a “Description” section limit of 200 characters which includes all punctuation, and which Clients may be requested to alter should the provided information exceed the given limit.
    • Are limited to appearing in one (1) website Directory category.
    • Will appear from the first (1’st) business day of the following month once all the necessary information and / or graphical material have been received from the User.
  • Paid listings:
    • Listings will be removed where Users fail to submit within thirty (30) days a request for the latest information.
    • Will be displayed based on the provided Life Complete Website and Life Chat Magazine formats, which can be altered without prior notice from time-to-time.
    • Include activated e-mail and website hyperlinks on the website.
    • Have a “Description” section limit, on the website, of 300 characters which includes all punctuation, and which Clients may be requested to alter should the provided information exceed the given limit. The listing in the Life Chat Magazine is text only and has a limit of 200 characters for the entire Advertisement and the number of characters available for the “Description” section is determined by space left after the standard information has been displayed.
    • Website Listings can appear in up to three of the provided categories while the listing in the magazine is limited to one (1) category.
    • Will appear from the first (1’st) business day of the following month once all the necessary information and / or graphical material have been received from the User.
    • Will appear in all the Life Chat issues published during the twelve (12) month duration of the contract / Agreement terms of the User.
    • Will be made public on the website once the full payment has been received and cleared. Will appear in the first Life Chat issue following clearance of payment.
    • Listings will be removed where Users fail to submit within thirty (30) days a request for the latest information and / or do not pay the full renewal amount.
  • Listings are listed alphabetically per category and name of business / organisation.
  • Life Complete reserves the right, in its sole and absolute discretion, to refuse / remove any Listing at any time.

25. Advertisements – Events

    • Events are listed free of charge on the condition that the User followed the steps provided for listing an Event provided on the Life Complete Website.
    • Description space is limited to 300 characters, punctuation included.
    • Graphical material must comply with the specifications as stipulated on the Life Complete Website.
    • Events that have expired will be removed from the Life Complete Website within forty eight (48) hours or two business days of the date of the Event.
    • Listed alphabetically per category followed by calendar dates.
    • Events are listed alphabetically per category followed by calendar dates.
    • Life Complete reserves the right, in its sole and absolute discretion, to refuse / remove any Event at any time.

26. Advertisements – Website

    • Clients will be given the opportunity to select where the Advertisement needs to be placed on the Life Complete Website, but Life Complete reserves the right to move the Advertisement to any location on the website it deems fit.
    • Delivery and Performance. The Client shall deliver the pre-designed / material for an Advertisement to Life Complete in such file formats as specified on the Life Complete Website and / or the Advertising Agreement and / or requests from Life Complete. In the event of Advertisements to be designed, it is recommended that the Client provide all material and comply with all Advertisement requirements at least ten (10) days before required date of the Advertisement being available on the Life Complete Website. The Client acknowledges that Life Complete shall not be responsible for any delays in the posting or display of the Advertisement due to the Client failing to comply with the requirements and specifications of Life Complete finalizing the Advertisement, which includes signing off on the advertisement or for reasons beyond the control of Life Complete.
    • The responsibility to maintenance all links from Advertisements to internet sources specified by the Client rests with Life Complete. Life Complete will not be held responsible where links no longer work due to changes made to the forwarding “address” and / or source without having been notified by the Client.
    • Life Complete reserves the right, in its sole and absolute discretion, to refuse / remove any advertisement at any time.

27. Advertisements – Magazine

    • The decision to place and / or edit / request changes to an Advertisement / advertorial / article rests with the Editor. This includes the right to request a Client to change / upgrade and Advertisement / advertorial or have it redesigned where any part of the Advertisement does not comply with the requirements stipulated by Life Complete and / or where the Advertisement / advertorial is not of a sufficiently high quality for printing.
    • Advertisements will only be included in the following issue once (1) the Advertising Contract / Agreement has been completed correctly and in full, (2) all the material to develop the Advertisement has been received giving sufficient time to complete and have the Client sign off on the Advertisement no less than one month prior to the publishing date and (3) full payment has been received and cleared by Life Complete.
    • Where a Client fails to submit (1) an Advertisement that complies with the Advertisement Specifications and / or (2) the material to design the Advertisement by the required date, the Client will lose the booking slot for that issue and will be billed the full amount for the booked space.
    • Cancellation of an Advertisement needs to be received by Life Complete in writing twenty (20) working days before the publishing date and is subject to a fifty percent (50%) cancellation fee.
    • The Client is responsible for verifying and ensuring that all content it is accurate / correct and that all relevant legislation is upheld (e.g. Copy Right, Intellectual Property and Patent legislation).
    • The Client is responsible to edit / proofread and sign-off on any pre-/re-/designed work and / or material before it is submitted to Life Complete for printing in Life Chat.
    • Life Complete reserves the right, in its sole and absolute discretion, to remove any advertisement at any time.

28. Advertisement specifications

    • All advertisement material must be submitted to editor@lifecomplete.co.za in electronic format.
    • The onus rests with the Client to inform Life Complete in writing about any specific requirements concerning the Advertisements (e.g. corporate colours etc).
    • Artwork / pictures / digital photos: 300 dpi in .JPEG or .GIF format. Photos, images and artwork downloaded from a website cannot be used. Print optimized PDF’s with high resolution images (minimum 300 dpi) and fonts embedded upon creation of the material. Logos: 300 DPI in .JPEG or .GIF format.
    • Wording: to be provided in Microsoft Word, an e-mail or as a text (.txt) file.
    • Spelling and grammar. The Client is responsible to edit and proofread all material before submitting it to Life Complete and before signing-off on the Advertisement. South African English instead of American English is recommended.Any design, correcting, adjustment, graphical work to be done in terms of the Advertisements of a Client is subject to an hourly rate as stipulated in the Advertising Contract / Agreement or a quotation provided by Life Complete.
      • It is the responsibility of the Client to receive and sign off on the final design.
      • All full page Advertisements / advertorials need to have a 3mm bleed.
      • Pre-designed add must be designed to the exact sizes provided in the Advertising Contract / Agreement.
    • Publishing of the electronic magazine will take place on the first (1’st) of each month or the first working day following the first and the printed version will be posted in order to reach the addressee by the first (1’st) or before the end of the first week of the month. All other deliveries will aim to have the magazine available by the first (1’st) for a month or the first working day following the first.
    • Where full payment for Advertisements is not received, such Advertisements will be removed from all “booked” issues until full payment has been received.

29. Parent Club

    • The Parent Club offers a number of “packages” which are a combination of services and / or products in electronic and / or printed format as made available on the Life Complete Website.
    • The “packages” available can be changed / altered and / or removed without prior notice.
    • The fees for “packages” can be changed from time to time without prior notice.
    • Membership / Subscription is subject to the registration processes stipulated on the Life Complete Website and Life Complete reserves the right to refuse / terminate Membership in its sole discretion.
    • Membership cancellation / notice to cancel membership is the responsibility of the “Client” and Life Complete will take no responsibility for and / or pay back monies that were paid / received / deducted beyond the date where the Client wanted the Membership to end but where Life Complete was not notified / did not receive the cancellation notice in writing.
    • It is the responsibility of the Client to notify Life Complete where the Client does not receive any of the material specified in the selected package.
    • All posted material is subject to the stipulations of Section 21.
    • The terms “Subscriber” and “Member” can be used interchangeably for members of the club while “Member” is the preferred term for a person using any of the “packages” of the Parent Club.
    • The Life Complete Parent Club refers exclusively to the “online” service provided by Life Complete. Any and all other Life Complete Parent Club(s) refers to “satellite” clubs and the onus rests with the Client to ensure that these clubs are managed / run by Agents appointed by Life Complete.
    • Users / Members may only use the username and password for the direct members of their family living with them.
    • Life Complete reserves the right to remove any User from the electronic mailing list at any time and thus deny that User access to the areas on the Life Complete Website exclusively reserved for Subscribers.
    • Users / Clients / Subscribers / Members will only be loaded as Members once they followed the steps provided on the Life Complete Website on how to become a Member.

30. Membership

    • Online and / or posted Membership is subject to the fees indicated on the Life Complete Website, which can be changed from time to time without prior notice.
    • Available Membership options / packages are indicated on the Life Complete Website and may be altered / removed without prior notice.
    • Membership is subject to the registration process and fees as specified on the Life Complete Website and Members will only be given access to the Life Complete Website areas reserved for Members once this process has been finalised and / or all monies owing has been received.
    • Membership are subject to cancelled or suspension of the service where fees are not received on time / are in arrears and the service will only be reactivated once all monies involved have been received.
    • Members may only use the username and password for the direct members of their family living with them.
    • Life Complete reserves the right to remove any Member from the electronic mailing list at any time and thus deny that Member access to the areas on the Life Complete Website exclusively reserved for Members.
    • Membership cancellation must be done in writing or via the provided method on the Life Complete Website and will take effect from the next month following, provided the cancellation was received before any payment deduction processes have been initiated by Life Complete.
    • Payment methods accepted: electronic fund transfers (EFT), debit orders, credit card payments and cash payment.
    • Debit orders are subject to the stipulation as set out in Section 20 and all relevant and current legislation. In the event of insufficient funds available in the account of the Member at the time of debit order deduction being processed, such amounts and all subsequent recovery fees will be for the account of the Member.
    • The submission of the subscribe form / contract on the Life Complete Website constitutes a legal agreement binding on both parties.
    • Members will receive periodic e-mails from Life Complete.
    • Life Complete does not take responsibility for down-time of the Life Complete Website and / or subsequently any of the Life Complete services / products as covered by Section 11.
    • Life Complete does not take any responsibility for no / late / incorrect receipt of electronically transferred / posted material to be provided to the Member as stipulated in the contract where Life Complete makes use of any third party for such delivery. Life Complete undertakes to address / remedy such occurrence once so notified by the Member at its earliest convenience.
    • It is expected that Members resend the membership application if no feedback / response is received from Life Complete within 48 hours following the submission thereof.
    • The responsibility to have the necessary software installed on their computers to view / use the Life Complete provided services / products, rests with the Member.
    • Membership is subject to a non-refundable registration fee as stipulated on the Life Complete Website which can change from time to time without prior notice.
    • Users may only use the username and password for the direct members of their family living with them.
    • Postage applies only to South Africa and is subject to Section 21.

31. Online sales and purchases

  • Shipping / posting:
    • Address errors. Life Complete will not be responsible for errors in the provided address and any subsequent cost / loss due to this.
    • Insurance. Parcels are not insured. Should a client want to insure the parcel, the client must inform Life Complete accordingly where after a quotation for insurance will be obtained from the courier that needs to be accepted and paid by the client before the parcel / order will be shipped.
    • Delivery time – first response. Where the client has not been contacted within forty eight (48) hours from having placed the order, the client needs to send an e-mail to orders@lifecomplete.co.za where after life Complete will investigate and work towards processing the order.
    • Delivery time – courier. Delivery applies to business day collection / delivery schedules and while the aim (except where the services of the Post Office is used) of the courier is to have the parcel delivered within forty eight (48) hours (main destinations), such deliveries and those in outlining areas / destinations are subject to industry conditions and realities. Also, once the courier takes possession of the parcel, all responsibility of Life Complete ceases and from that point on the client need to deal with the courier regarding the parcel.
    • Delivery time – general. The client is bound by the courier and / or service package selected by Life Complete. Where the client expects any alternative arrangements, such will be subject to written acceptance of both Life Complete and the client and the client will be responsible for any additional cost involved. Ownership of the order also transfers to the owner once the appointed courier accepts the order.
    • Delivery note. The client will be responsible to check the parcel before the courier leaves and sign the delivery slip provided by the courier, to qualify for returns. The signature of any person at the delivery address will serve to confirm delivery.
    • Prices. Shipping prices quoted on the website is subject to price changes enforced by the courier, which may change without prior notice.
    • Delivery failure. Where the courier fails to deliver the order after a reasonable attempt has been made to do so, the client will be responsible for any additional cost involved and / or to have the order delivered.
  • Liability
    • Condition of goods. Life Complete will not be held responsible for the condition of the parcel or its content once it is handed over to the courier and will thus not take any responsibility / be held liable for any damages / loss suffered by the client from using any third party services used by life Complete for shipping and / or payments to Life Complete.
    • Loss. Any losses or damages, excluding “faulty” products, need to be reported to the courier and any subsequent claims need to be submitted to the courier.
    • Risk. All risk of the parcel moves to the courier / owner once the courier takes possession of the parcel.
    • Also see the section called “Disclaimer and limitation of liability.”
  • Returns
    • Terms. Only “faulty” products will be accepted as returns on the condition that the client notified Life Complete in writing of any defects within seven days (and returning the goods within thirty days) of receiving the goods and the client made use of the courier indicated by Life Complete for the return of the goods. Where the client makes use of any other courier and / or until the products are confirmed to be faulty, the client will be responsible for any cost / courier fees involved. Should Life Complete find that the material is not “faulty,” the client will be held responsible for the “return to Life Complete” courier fees together with the “re-shipping to the client” fees for sending the material back to the client – where, should the client refuse to settle such amounts, Life Complete will keep the ordered material until such time that the client has settled all monies owing to the courier / Life Complete. (Faulty goods are defined and limited to printing that is illegible or electronic copies that are “corrupt.”) Where Life Complete finds that the material is “faulty,” Life Complete will send the client a new set of the “faulty” items only and will be responsible for the return and forwarding courier fees.
    • Contact details. You may be required to provide additional personal contact information solely for the purpose of ensuring the order / parcel reached you in perfect condition. Life Complete will however never ask you to provide any of your banking information or details.
    • Lost items. In the event that a return gets lost on its way to Life Complete, the claim will be considered invalid / cancelled as actual proof is necessary to determine whether the product is faulty.
  • E-products
    • Downloads. Orders need to be downloaded within seventy two (72) hours from the time the order was completed. Where this is not possible, for whatever reason, the client needs to notify Life Complete in writing to prevent the expiry of the right of the client to the available material.
  • Life Complete has a strict no refund policy.
  • Payments
    • Law. The Life Complete online shop is subject to all legislative / regulatory requirements for trade in the public online domain.
    • Reference number. Payments without order number or reference number will not be processed.

    • Resolution of. Life Complete reserves the right to determine the best course of action in the case of any dispute related to any order / purchase / payment made via www.lifecomplete.co.za and that decision will be considered final.

    • Terms. By accepting the Life Complete terms and conditions, by implication, you also accept the terms and conditions of all third party service providers Life Complete use, especially once redirected to them from the Life Complete website, which includes the legal jurisdictions within / under which they operate.
    • Own risk. Clients make use of all Life Complete services, including all third party services and / or products, inclusive of the online shop and payment facilities, at own risk and Life Complete will take no responsibility / not be held liable for any result / damages / loss suffered from using such services.
    • Age. By using our website / shop, you declared that you are at least 18 years of age and that you have the authority / permission to conduct the undertaken actions and where any of your minor dependants have access to your information it is accepted that you have given us your consent to allow them to make use of our shop.
    • Limits. Life Complete reserves the right to cancel any order and / or limit the number of items sold per client / household, groups and / or “organisation.”

Users / Clients who have provided their e-mail address to Life Complete will automatically be added to the monthly electronic mailing list and will from time-to-time receive electronic mail from Life Complete. In accordance to law, all such correspondence will include an “unsubscribe” function whereby Users / Clients can request the discontinuation of such electronic correspondence.
  • All contracts / Agreements signed with Life Complete are considered legally binding Agreements.
  • When you, though not limited to, make any purchase (e.g. via the website or directly from Life Complete), advertise in any medium provided by Life Complete (e.g. on the website, in the newsletter or in the magazine), subscribe to / become a member of the club, list in the directory, list one / more events, agree to be listed as a Supporter / Affiliate / Partner / Specialist, take part / provide information / material of whatever nature to be placed on the website (e.g. write / endorse / proof an article) and / or sell one / more products via through Life Complete you will automatically be placed on our mailing list, which contains an “unsubscribe” option should you no longer wish to receive e-mails from Life Complete.
